1. Acceptance & Scope of Service
These Terms & Conditions ("Terms") constitute a legally binding agreement between SalesTrack Technologies Limited
("SalesTrack", "we", "us", or "our") and the store owner, enterprise retailer, or authorized business representative ("Merchant", "you", or "your").
By installing the SalesTrack Desktop Till software, downloading the SalesTrack Mobile App, accessing the Web HQ Dashboard,
or engaging our field engineers for on-site hardware deployment, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
Core Products Covered:
• SalesTrack Windows Desktop Offline Engine (Counter cashier tills, barcode POS, thermal printer drivers).
• SalesTrack Mobile App (Real-time live owner sales dashboard, remote void notifications, daily profits).
• SalesTrack Cloud Sync HQ (Multi-branch catalog management, debtor ledgers, central audits).
2. Merchant Account & Cashier PIN Security
SalesTrack includes comprehensive anti-theft and shift auditing features designed to protect retail store owners against cashier shrinkage:
-
Cashier PINs: Every till operator must be assigned a unique 4-to-6 digit PIN. Cashiers must never share PINs.
All cash receipts, discounts, item voids, and drawer opening actions are permanently attributed to the active PIN.
-
Shift Handover Declarations: Tills require blind or declared cash counts upon shift closing.
The system calculates drawer variances automatically.
-
Supervisor Overrides: Restrictive actions (such as post-receipt price changes, voids, and debtor credit allowances)
mandate manager authorization PINs.
-
Owner Credential Duty: You are responsible for safeguarding your master owner password and enabling two-factor authentication (2FA)
on the SalesTrack mobile app.
3. POS Hardware & On-Site Installation
SalesTrack is engineered to run on standard retail hardware, including all-in-one touch terminals, Windows desktop PCs,
58mm/80mm USB & Ethernet thermal receipt printers, electronic cash drawers, and 1D/2D barcode scanners.
-
Hardware Compatibility: While our engineers test standard ESC/POS printers and USB barcode scanners,
merchants using their existing PC hardware must meet the minimum recommended specifications (Intel Core i3 or higher, 4GB RAM, Windows 10/11).
-
On-Site Deployment in Kano & Nationwide: For merchants requesting physical hardware setup, cable routing,
thermal printer pairing, and cashier staff training, our field engineers provide scheduled on-site visits.
The merchant is responsible for ensuring stable shop electricity or solar/UPS backup power.
-
Hardware Warranties: Any physical POS hardware (printers, barcode scanners, touch tills) purchased directly through
SalesTrack carries a standard manufacturer replacement warranty (typically 6 to 12 months) against factory defects.
4. Subscription Plans, Billing & Pricing in Naira (₦)
SalesTrack offers transparent, predictable pricing tailored to Nigerian retail operations without surprise foreign exchange surcharges:
-
Denomination: All license tiers and add-ons are priced and billed in Nigerian Naira (₦).
-
Billing Frequencies: Subscriptions are available on monthly or discounted annual terms (e.g., Starter, Pro Supermarket, Multi-Branch Enterprise).
-
Payment Channels: Subscriptions can be renewed via direct bank transfer, verified debit cards (Paystack / Flutterwave), or certified partner invoices.
-
Grace Periods: If a renewal is delayed, the offline till continues selling for a minimum grace window of 7 business days
to ensure uninterrupted storefront checkout while you finalize payment.
-
Refunds: Monthly subscription fees are non-refundable once the billing cycle begins. For annual upfront subscriptions,
pro-rated refunds may be requested within the first 14 days following deployment.
5. 100% Offline Operations & Merchant Sync Responsibilities
One of SalesTrack's flagship features is its resilient offline design. Your store can continue ringing up customers, scanning barcodes,
printing thermal receipts, and taking cash or POS transfers even when national internet cables, cell towers, or local Wi-Fi networks fail.
Merchant Synchronization Duty:
While the offline engine can operate indefinitely without active internet, the merchant is responsible for connecting the till computer
to the internet (via Wi-Fi, hotspot, or LAN) periodically (at least once every 48 hours) to ensure local sales delta batches are
replicated to the Cloud HQ and reflected on the Owner Mobile App.
SalesTrack is not responsible for delayed mobile notifications or multi-branch stock discrepancy reports if the physical till remains
disconnected from the internet over extended durations.
6. WhatsApp Digital Receipts & Anti-Spam Compliance
SalesTrack allows retail merchants to dispatch instant digital transaction receipts and debtor payment reminder notices directly to customer WhatsApp numbers:
-
Customer Consent: The merchant warrants that phone numbers entered into the POS for digital receipts are provided
voluntarily by the shopper at checkout.
-
Prohibition of Unsolicited Spam: You may not use the SalesTrack customer ledger to broadcast bulk spam, unsolicited marketing blasts,
or non-store promotions in violation of WhatsApp Business Terms of Service or Nigerian consumer protection regulations.
-
Fair Messaging Allocation: WhatsApp receipt deliveries are governed by fair usage allocations according to your subscription tier.
7. Merchant Ownership of Retail Data
We hold a strict, uncompromised philosophy regarding retail data sovereignty:
Absolute Merchant Ownership:
You own all inventory records, sales transactions, supplier invoices, cost margins, profit figures, and customer debtor accounts
created within your SalesTrack tenant. SalesTrack does NOT claim ownership of, sell, license, or disclose your proprietary trade figures
to any third-party competitor, supplier, or advertising aggregator.
You retain the right to export your complete sales ledger, customer directories, and catalog data in standard Excel (XLSX) or CSV formats at any time.
8. Service Level Agreement (SLA) & Software Updates
-
Cloud HQ Availability: We target a 99.9% uptime for our cloud synchronization servers and mobile API endpoints.
-
Scheduled Maintenance: Cloud server upgrades are performed during low-traffic overnight hours (typically 1:00 AM – 4:00 AM West Africa Time)
with advance notice. Scheduled maintenance never prevents local counter tills from processing walk-in customer checkout.
-
Software Updates: SalesTrack periodically distributes feature enhancements, bug fixes, and security patches.
Offline tills will prompt managers when a verified software update is ready to install.
9. Prohibited Conduct & Fair Use
Merchants and users agree not to:
- Reverse engineer, decompile, disassemble, or tamper with the SalesTrack offline binaries or license validation mechanisms.
- Use SalesTrack to process transactions for illegal, counterfeit, stolen, or contraband goods prohibited under Nigerian federal or state laws.
- Attempt unauthorized access to other merchants' cloud partitions or database instances.
- Resell, sublicense, or rent SalesTrack software keys to unauthorized third parties without an active Certified Partner Agreement.
10. Limitation of Liability & Disclaimers
SalesTrack provides its retail management software "as is" and "as available". While we build extensive automated tests and robust
redundancy into our offline caching and sync algorithms:
-
Hardware & Environmental Factors: SalesTrack is not liable for data loss caused by catastrophic physical hardware failure,
counter computer liquid spills, surges resulting from faulty shop generator power, or ransomware infections introduced by unauthorized USB drives.
-
Accounting & Tax Obligations: The Merchant is solely responsible for verifying tax computations (such as VAT or state sales tax)
and complying with federal and state internal revenue regulations.
-
Cap on Liability: To the maximum extent permitted by Nigerian law, SalesTrack’s total cumulative liability for any claim
arising from this agreement is limited to the total subscription fees paid by the Merchant to SalesTrack in the preceding 6 months.
11. Cancellation, Account Closure & Data Export
You may cancel your SalesTrack subscription at any time by contacting our billing desk or submitting a cancellation request from your store dashboard.
-
Post-Cancellation Data Access: Following cancellation, your store records will remain accessible in read-only export mode
for 30 calendar days, enabling you to download full CSV/Excel reports of past sales, stock movements, and customer ledgers.
-
Permanent Deletion: After the 30-day export window, your cloud tenant data will be permanently wiped in accordance
with our Privacy Policy and NDPR standards.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
In the event of any controversy, claim, or dispute arising out of or relating to this agreement, the parties agree to first engage in
good-faith amicable negotiation for a minimum of 14 days. If the dispute remains unresolved, it shall be submitted to mediation or
the competent courts of Kano State, Nigeria.
